Welcome to the web site (the “Site”) of Convergent Dental, Inc. (“Convergent Dental”, “we”, “us” and/or “our”). This Site is operated by Convergent Dental and has been created to provide information about Convergent Dental and Solea, the first CO2 laser system ever cleared by the FDA for hard and soft tissue ablation, and other products and services of Convergent Dental (collectively, the “Convergent Dental Products”), to our Site visitors (“you”, “your”). This Privacy Policy sets forth Convergent Dental’s policy with respect to information including personally identifiable data (“Personal Data”) and other information that is collected from Site visitors.

Personal Data That You Provide Through the Site: We collect Personal Data from you when you voluntarily provide such information, such as when you contact us with inquiries or request more information regarding Solea or other Convergent Dental Products. Wherever Convergent Dental collects Personal Data we make an effort to provide a link to this Privacy Policy.

 

By voluntarily providing us with Personal Data, you are consenting to our use of it in accordance with this Privacy Policy. If you provide Personal Data to this Site, you acknowledge and agree that such Personal Data may be transferred from your current location to the offices and servers of Convergent Dental and the authorized third parties referred to herein located in the United States.

Non-Identifiable Data: When you interact with Convergent Dental through the Site, we receive and store certain personally non-identifiable information. Such information, which is collected passively using various technologies, cannot presently be used to specifically identify you. Convergent Dental may store such information itself or such information may be included in databases owned and maintained by Convergent Dental affiliates, agents or service providers. This website uses Google AdWords and the Google AdWords remarketing service to advertise on third party websites (including Google) to previous visitors to our site. 3.1 CONVERGENT DENTAL, ITS AFFILIATES, THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS (COLLECTIVELY, THE “CONVERGENT DENTAL PARTIES“) MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE CONTENT, INCLUDING BUT NOT LIMITED TO ITS ACCURACY, RELIABILITY, COMPLETENESS, TIMELINESS OR RELIABILITY. 4. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless the Convergent Dental Parties from and against any claims, actions or demands, including, without limitation, reasonable legal and accounting fees, arising or resulting from your breach of this Agreement or your access to, use or misuse of the Content or Web Site. Convergent Dental will provide notice to you of any such claim, suit, or proceeding. Convergent Dental reserves the right to assume the exclusive defense and control of any matter which is subject to indemnification under this section. In such case, you agree to cooperate with any reasonable requests assisting Convergent Dental’s defense of such matter.

 

5. TERMINATION OF THIS AGREEMENT

5.1 Convergent Dental reserves the right, in its sole discretion, to restrict, suspend, or terminate this Agreement and your access to all or any part of the Web Site or the Content at any time and for any reason without prior notice or liability. Convergent Dental reserves the right to change, suspend, or discontinue all or any part of the Web Site or the Content at any time without prior notice or liability.

 

5.2 Sections 3 (Limitation of Liability and Warranty), 4 (Indemnification), 5 (Termination of Agreement), and 8 (Miscellaneous) will survive the termination of this Agreement.

 

6. USER MUST COMPLY WITH APPLICABLE LAWS

6.1 This Web Site is based in Needham, Massachusetts. We make no claims concerning whether the Content may be downloaded, viewed, or be appropriate for use outside of the United States. If you access the Web Site or the Content from outside of the United States, you do so at your own risk. Whether inside or outside of the United States, you are solely responsible for ensuring compliance with the laws of your specific jurisdiction.

 

6.2 The United States controls the export of products and information. This Agreement is governed by the internal substantive laws of the Commonwealth of Massachusetts, without respect to its conflict of laws provisions. You expressly agree to submit to the exclusive personal jurisdiction of the state and federal courts sitting in the City of Boston in the Commonwealth of Massachusetts. If any provision of this Agreement is found to be invalid by any court having competent jurisdiction, the invalidity of such provision will not affect the validity of the remaining provisions of this Agreement, which will remain in full force and effect. Failure of Convergent Dental to act on or enforce any provision of the Agreement will not be construed as a waiver of that provision or any other provision in this Agreement. No waiver will be effective against Convergent Dental unless made in writing, and no such waiver will be construed as a waiver in any other or subsequent instance. Except as expressly agreed by Convergent Dental and you, this Agreement constitutes the entire Agreement between you and Convergent Dental with respect to the subject matter, and supersedes all previous or contemporaneous agreements, whether written or oral, between the parties with respect to the subject matter. The section headings are provided merely for convenience and will not be given any legal import. This Agreement will inure to the benefit of our successors, assigns, licensees, and sublicensees. Any information submitted or provided by you to the Web Site might be publicly accessible. Important and private information should be protected by you. Convergent Dental is not liable for protection of privacy of electronic mail or other information transferred through the Internet or any other network that you may use.
